Regulations of Chengdu Association for the Promotion of Foreign Trade and Economic Cooperation


Chapter 1 General

Article 1 The name of this association is Chengdu Association for the Promotion of Foreign Trade and Economic Cooperation. (The English name is CHENGDU ASSOCIATION FOR FOREIGN TRADE AND ECONOMIC COOPERATION, the abbreviation is CAFETC)  

Article 2 The nature of the association is a joint non-profit social organization voluntarily formed by professional workers, theoretical workers, celebrities, celebrities and business units engaged in economic and trade cooperation with relevant overseas countries.  

Article 3 This association adheres to the overall leadership of the Communist Party of China and, in accordance with the provisions of the Constitution of the Communist Party of China, establishes the organization of the Communist Party of China to carry out party activities and provide necessary conditions for the activities of the party organization.  If the number of formal party members is less than 3 and does not currently have the conditions to establish a party organization alone, it can be carried out in this association by establishing a joint party organization or appointing a party member as a party building liaison or a party building instructor selected by a higher party organization. Party work.  The association invites the person in charge of the party organization to attend or attend the meeting of the management of the association. Party organizations put forward opinions on important decisions, important business activities, large expenditures, receiving large donations, and carrying out foreign-related activities.  

Article 4 The purpose of this association is to comply with the Constitution, laws, regulations and national policies. Advocate and practice the core socialist values of 'prosperity, democracy, civilization, and harmony'; 'freedom, equality, justice, and rule of law'; 'patriotism, dedication, integrity, and friendliness'.  Abide by social ethics and customs, be honest and trustworthy, abide by the principle of non-profit, and disclose information in a timely manner. The purpose of this association is to adhere to the tenet of “serving the government, serving enterprises, and serving the society”, and actively implement the development policy of “going out” and “bringing in”, and strive to provide Chengdu enterprises with information, consultation, project development, and law Assistance and other services help companies explore markets and seek business opportunities. Facilitate overseas enterprises to invest and cooperate in Chengdu, and promote Chengdu enterprises to invest and cooperate overseas. Build a development platform for member units to strengthen non-governmental economic and trade cooperation and cultural exchanges.  The donor promises not to retain or enjoy any property rights to the property invested in the organization.  

Article 5 The association accepts the supervision and management of association registration and management agencies. The organization registration management agency is Chengdu Civil Affairs Bureau.  

Article 6 The residence of the Association is located at: No. 99, Wanhe Road, Qingyang District, Chengdu, Postal Code: 610014.

Chapter II Business Scope

Article 7 The business scope of the Association  Focusing on international economic and trade exchanges and cooperation, this association will carry out the following business activities for countries around the world, especially South Asia:

  (1) Organizing and providing Chengdu foreign economic and trade cooperation information and consulting services;  

(2) Organizing and supporting members to carry out theoretical seminars on foreign economic and trade cooperation and investment project negotiations; 

 (3) Organizing and supporting members to carry out academic exchanges and cooperative research on foreign economic and trade;

 (4) Propaganda and popularize economic, technical, legal and business knowledge of foreign economic and trade exchanges and cooperation;  

(5) Organizing the editing and publishing of information, academic, and applied books and periodicals on science of foreign economic and trade exchanges and cooperation and related disciplines;  

(6) Promote and carry out continuing education and technical training for members;  

(7) Safeguard the legitimate rights and interests of units and workers involved in foreign economic and trade exchanges and cooperation;  

(8) To commend the outstanding foreign economic and trade exchanges and cooperation units and workers among the members of this association, and to review outstanding papers and achievements  

(9) Organize and carry out other social activities related to foreign economic and trade exchanges and cooperation.

Chapter III Members

Article 8 This association is composed of individual members and unit members.  

Article 9 Members who apply to join the Association must meet the following conditions  

(1) Support the constitution of the Association;  

(2) Willing to join the Association;  

(3) Have certain influence in the business of the Association (industry, discipline);  

(4) Unit members: enterprises and institutions engaged in foreign economic and trade exchanges and cooperation, as well as relevant provinces (cities, districts), cities, counties and national associations related to the business of the Association. Support the constitution of the association, have the willingness to join the association, and perform the membership procedures to become a unit member of the association;  

(5) Individual members are experts, scholars and practical workers engaged in foreign economic and trade exchanges and cooperation, support the articles of association of the association, have the willingness to join the association, and perform the membership procedures to become individual members of the association.  

Article 10 The procedure for membership membership is: 

(1) Submit an application for membership;  

(2) Discussed and approved by the council;  

(3) A membership card is issued by the council or an agency authorized by the council.  

Article 11: In any of the following circumstances, it is forbidden to develop into a member or hold an association post  

(1) Without or with limited capacity for civil conduct;  

(2) The criminal punishment is being executed or the criminal compulsory measures are being executed;  

(3) Being wanted by public security organs or national security organs;  

(4) If the organization is deregistered while the non-governmental organization is the main person in charge, it has not been more than 3 years since the date of deregistration of the unit;  

(5) Serving as the person in charge of an illegal non-governmental organization or participating in an illegal non-governmental organization, and its key personnel have not been more than 5 years since the date of banning the organization.  

(6) Non-Chinese citizens;  

(7) Other circumstances stipulated by laws, regulations and policies.  

Article 12 Members enjoy the following rights  

(1) The right to vote, to be elected and to vote of the Association;  

(2) Participate in the activities of the Association;  

(3) Obtain the priority of the service of the Association;  

(4) The right to criticize and suggest and supervise the work of the Association; 

(5) Voluntary membership and free withdrawal;  

Article 13 Members perform the following obligations  

(1) Implement the resolutions of this association;  

(2) Maintain the legitimate rights and interests of the Association;  

(3) Complete the work assigned by the Association;  

(4) Pay the membership dues as required;  

(5) Report the situation to the Association and provide relevant information. 

 Article 14 Members who withdraw from the club shall notify the club in writing and return the membership card. If a member does not pay the membership fee or participate in the activities of the Association for one year, it shall be deemed to be withdrawn automatically.  

Article 15 If a member commits a serious violation of this Articles of Association, it shall be delisted after voting by the board of directors.  

Article 16 The Association shall establish a complete membership roster and member integrity files, and adjust it in time according to changes.

 

Chapter IV Formation and Removal of Organizations and Persons in Charge

Article 17 The highest authority of the Association is the General Assembly. The functions and powers of the General Assembly are:

(1) Formulating and revising the articles of association;  

(2) Election and removal of directors, supervisors and chairman (chairman), chairman of supervisors, and vice chairman (deputy chairman), through the appointment and removal of heads of the secretary general, other executive agencies, branches and representative offices;  

(3) Review the work report and financial report of the council;  

(4) To consider the proposal of delisting members by the council;  

(5) To make resolutions on the changes, dissolution and liquidation of the Association;  

(6) Change or revoke inappropriate decisions of the board of directors;  

(7) Formulate or amend the constitution and the election method of the organization  

(8) Formulate and modify the standard of membership fees;  

(9) Decide on termination matters;

Article 18 The general meeting is held once a year. Only two-thirds or more of the members are present to convene, and the resolutions must be passed by more than half of the members at the meeting before it can take effect. The election method of this association adopts equal elections by secret ballot. The board of directors deems it necessary or if more than one-fifth of the members propose, an extraordinary general meeting may be held.  

Article 19 The term of office of the General Assembly is 5 years. If the meeting needs to be held in advance or postponed due to special circumstances, it must be approved by the board of directors and approved by the registration management agency after being reviewed by the business supervisor. However, the longest postponement of renewal shall not exceed 1 year.  

Article 20 The board of directors is the executive body of the general meeting. It leads the daily work of the meeting during the inter-sessional period and is responsible to the general meeting.  

Article 21 The powers of the council are.

(1) Implement the resolutions of the general meeting;  

(2) Election and removal of directors (chairs), vice-chairs (vice-chairs) and other responsible persons, through the appointment or removal of the secretary-general and other executive (branch, representative) heads;  

(3) Preparing to convene a membership meeting;  

(4) Report work and financial status to the General Assembly;  

(5) Decide on the absorption or delisting of members;  

(6) Decide on the appointment of consultants, honorary chairman, honorary vice chairman and honorary directors;  

(7) Deciding to establish offices, branches, representative offices and entities;  

(8) Decide on the appointment of deputy secretary-generals and deputy heads of other executive (branch, representative) agencies;  

(9) Lead the work of various organizations of the Association;  

(10) Formulate internal management system;  

(11) Decide on other important matters.

Article 22:The board of directors must have more than two-thirds of the directors present before it can convene, and its resolutions must be passed by more than two-thirds of the directors present before it can take effect.  

Article 23: The board of directors shall convene at least twice a year. In special circumstances, it can also be held in the form of communication.  

Article 24 The chairman (chairman), chairman of supervisors, deputy chairman (vice-chairman), secretary-general, and other executive (branch, representative) heads of this association must meet the following conditions: volume_up content_copy  share

(2) Have greater influence in the business area of the Association;  

(3) The maximum age of the chairman (chairman), chairman of supervisors, vice chairman (vice chairman), and secretary-general shall not exceed 70 years old, and the secretary-general shall be full-time;  

(4) Being healthy and able to work normally;  

(5) Those who have not received criminal penalties for depriving political rights;  

(6) Have full capacity for civil conduct. 

Article 25 If the chairman (chairman), chairman of supervisors, vice chairman (vice chairman), and secretary-general of this association exceed the maximum age, they must obtain prior approval from the Chengdu Civil Affairs Bureau before participating. election.  

Article 26 The term of office of the chairman (chairman), chairman of supervisors, vice chairman (vice chairman) and secretary-general of this association is 5 years. The term of office of the Secretary-General shall not exceed two terms.  

Article 27 The Secretary-General of the Association is the legal representative of the Association. The legal representative of this association does not concurrently serve as the legal representative of other groups.  

Article 28 The chairman (chairman) of the Association shall exercise the following powers

(1) Lead the work of the association and lead the team to complete the work and goals and tasks within the term;  

(2) Examine and approve the development plan and program of the promotion association, and decide on major issues;  

(3) Preside over the convening of the board of directors, review and approve the rules and regulations of the promotion association, plans for major activities and important documents of the promotion association;  

(4) Report work to the General Assembly;  

(5) Check the implementation of the resolutions of the general meeting and the board of directors;  

(6) Complete other tasks assigned to the promotion committee by superiors and competent departments.  

Article 29 The vice chairman (vice chairman) of the Association shall exercise the following functions and powers:  

(1) Assist the president and secretary-general to carry out the work of the promotion;  

(2) Assist the president in convening and presiding over the council and general meeting;  

(3) Develop and recruit new members of the association, and safeguard the legitimate rights and interests of members of the association;  

(4) Develop overseas economic cooperation, actively participate in and promote cooperation projects with overseas countries and enterprises;  

(5) Organizing and providing Chengdu economic and trade cooperation information and consulting services;  

(6) Organizing and supporting members to carry out economic and trade academic exchanges and cooperative research, and do a good job in the association's external publicity and foreign exchanges;  

(7) Complete various tasks assigned by the president.  

Article 30 The Secretary General of the Association shall exercise the following functions and powers  

(1) Preside over the daily work of the office and organize the implementation of the annual work plan;  

(2) Drafting various rules and regulations and management methods;  

(3) Responsible for coordination with the competent department and business guidance department;  

(4) Close contact with member units, go to the grassroots level, understand the situation and solve problems;  

(5) Responsible for the preparation and affairs of various meetings;  

(6) Nominate the principal persons in charge of various offices, branches, representative offices and entities, and submit them to the board of directors for decision;  

(7) Decide on the employment of full-time staff in offices, representative offices, and entities;  

(8) Sign relevant important documents on behalf of the Association.  

Article 31 The Deputy Secretary-General of the Association shall exercise the following functions and powers:  

(1) The formulation of major event plans and the organization and coordination of activities;  

(2) Propose specific plans for establishing branches; 

(3) Nominate consultants, honorary chairman and honorary vice chairman, and submit them to the board for decision;  

(4) Coordinate the work of various branches, representative offices and entities;  

(5) Keep the administrative seal of the Promotion Association;  

(6) Handle other daily affairs.  

Article 32 The Board of Supervisors shall be established with 3 members.  The term of office of supervisors is the same as that of directors. Upon expiration of the term, they can be re-elected for a maximum of two terms.  

Article 33 Supervisors shall be generated or replaced among unit members, individual members, practitioners of associations or persons recommended by relevant units.  The directors of the association, the head of the association and the head of the branch (representative, executive) agency shall not concurrently serve as supervisors.  

Article 34 Rights and Obligations of the Board of Supervisors  

(1) Report work to the General Assembly;  

(2) Supervise the election and removal of the general assembly and the council; supervise the implementation of the resolutions of the general assembly by the council;  

(3) Check the financial and accounting data of the Association, and report the situation to the Chengdu Municipal Bureau of Commerce, Chengdu Municipal Bureau of Civil Affairs, and taxation and accounting authorities;  

(4) Supervisors attend member meetings, councils and important administrative meetings of the association as non-voting delegates, and have the right to raise questions and suggestions to the council;  

(5) Supervise the compliance of the council with laws and regulations. When the business activities of the chairman (chairman), vice-chairman (deputy chairman), directors and secretary-general harm the interests of the association, they are required to correct them and report to the general assembly or relevant government departments if necessary.  

(6) Preside over the internal conflict mediation meeting of the Association, coordinate the opinions of all parties to form a mediation plan (agreement), supervise the implementation of the mediation plan (agreement), and if necessary, propose a solution and implement it after review and approval by the general assembly.   The supervisors of the board of supervisors shall abide by the relevant laws and regulations and the articles of association of the board, accept the leadership of the general assembly, and perform their duties effectively.  

Article 35   If the number of party members among the staff of the association reaches 3 or more, the party’s basic organization shall be established after reporting to the higher-level party organization for approval and performing the following duties:  

(1) Propaganda and implement the party's line, guidelines, and policies, and implement the resolutions and decisions of the higher party organization and the organization.  

(2) Guide and supervise social organizations to comply with national laws and regulations, adhere to the correct political direction, and promote the healthy development of social organizations.  

(3) Support social organizations and their responsible persons to carry out their work in accordance with the charter.  

(4) Strengthen the self-building of the party organization, do a good job in the education and management of party members and the development of party members, and give play to the vanguard and exemplary role of party members. Propagate the party’s propositions, implement the party’s decisions, lead grassroots governance, unite and mobilize the masses, and promote reform and development.  

(5) Leading the construction of spiritual civilization and ideological and political work, safeguarding the legitimate rights and interests of all parties, uniting the masses of employees, and establishing harmonious labor relations.  

(6) Do a good job in the united front.  

(7) Complete other tasks assigned by the superior party organization.  

Article 36   The association has established a system for requesting instructions and reporting for major activities. Anything involving the following matters must be reported to Chengdu Civil Affairs Bureau and the competent business unit in advance  

(1) Accepting donations and funding from abroad (inside);  

(2) Sudden incidents, accidents or problems occur;  

(3) Matters involving the vital interests of employees and social stability;  

(4) Being notified, investigated and punished by relevant government departments;  

(5) Organizing and holding cross-regional academic exchanges, (seminars), forum activities, promotion, and exhibitions;  

(6) Organizing outbound inspections and exchanges;  

(7) Renewal of the council;  

(8) Other major matters that require instructions and reports.

 

Chapter V Principles of Asset Management and Use

Article 37 Sources of Funds for the Association  

(1) Membership fee;  

(2) Donation;  

(3) Government funding;  

(4) Income from activities or services carried out within the approved business scope;  

(5) Interest;  

(6) Other legal income.  

Article 38 The Association collects membership dues in accordance with relevant national regulations. Its membership fee standard is:  President unit: 50000.00 yuan/year  Vice President Unit: 30000.00 yuan/year  Director unit: 20000.00 yuan/year  General unit members: 5000.00 yuan/year.  

Article 39 Except for reasonable expenditures related to the Association, all the income of the Association shall be used for public welfare or non-profit undertakings specified in the registration or the articles of association, and shall not be distributed among members.  

Article 40 The Association shall establish a strict financial management system to ensure that accounting information is legal, true, accurate and complete.  

Article 41 The Association is equipped with professionally qualified accounting personnel. Accounting should not act as cashier. Accountants must conduct accounting and implement accounting supervision. When an accountant is transferred or resigned, he must complete the handover procedures with the receiver.  

Article 42 The Association implements the 'Accounting System for Private Non-profit Organizations', and the asset and financial management are subject to the supervision of the membership assembly and the financial department. If the source of assets is state appropriation or social donation or subsidy, they must accept the supervision of the audit agency and disclose the relevant information to the public in an appropriate manner.  

Article 43 The meeting must undergo a financial audit before changing the term or changing the legal representative.  

Article 44 The assets of the Association shall not be embezzled, privately divided or misappropriated by any unit or individual.  

Article 45 The monthly average salary level of full-time staff hired by the Association shall not exceed twice the per capita salary level of the tax registration place of the previous year. The staff’s insurance and welfare benefits shall be implemented in accordance with relevant national regulations.

 

Chapter VI Procedure for Amendment of Articles of Association

Article 46 Modifications to the articles of association of the Association shall be effective only after being approved by the Council and then reported to the General Assembly.  

Article 47 The revised articles of association must be submitted to the professional supervisory unit for review and approval within 15 days after the membership meeting is passed, and within 15 days after the professional supervisory unit examines and agrees, it shall become effective after being approved by the registration management agency.

 

Chapter VII Termination Procedures and Property Disposal after Termination

Article 48 If the association completes its purpose, dissolves itself, or needs to be cancelled due to division or merger, the board of directors shall propose a motion for termination.  

Article 49 The motion to terminate the association must be approved by the general meeting of members and submitted to the competent business unit for review and approval.  

Article 50 Before the termination of the association, a liquidation organization must be established under the guidance of the business supervisory unit and relevant agencies to clean up claims and debts and deal with the aftermath. During the liquidation, not to carry out activities other than liquidation.  

Article 51 The association shall be terminated after the registration and management organs go through the procedures for cancellation of registration.  

Article 52 The remaining property after the termination of the Association shall be used for public welfare or non-profit purposes, or be donated by the social organization registration and management agency to a social organization with the same nature and purpose as the organization, and shall be announced to the public. 

Chapter 8 Supplementary Provisions

Article 53 The Articles of Association were voted and approved by the 3rd First General Assembly on November 27, 2019.  

Article 54 The right to interpret this charter belongs to the council of this association.  

Article 55 This Articles of Association shall take effect from the date of approval by the organization registration management authority.
